Terms of Service

Article 1 (Purpose)

These Terms of Service (“Terms”) govern the rights and obligations between VirtualLab Co., Ltd. (“Company”) and any user (“User”) who accesses or uses the Company’s websites and all software, services, and educational programs (collectively, the “Service”).

Article 2 (Definitions)

• “Service” means Materials Square, D3Square, MAXFlops, and ancillary tools, materials, training programs, and this website provided by the Company.
• “User” means any individual or legal entity that accesses or uses the Service under these Terms.
• “Account” means the credential granted by the Company to identify a User and enable Service usage.

Article 3 (Effect and Changes to Terms)

These Terms apply to all Users of the Service. The Company may modify these Terms within the limits permitted by applicable laws. The modified Terms become effective upon publication on this website. The Company will provide at least 7 days’ notice for routine changes and at least 30 days’ notice for material or adverse changes.

Article 4 (Provision and Modification of the Service)

The Company offers: a materials simulation platform (Materials Square), a data/AI platform (D3Square), managed HPC services (MAXFlops), and related training, technical support, and custom engagements. The Company may change Service content, methods of use, or hours of operation, with prior notice of the change and its rationale.

Article 5 (Suspension of the Service)

The Company may temporarily suspend the Service for maintenance, replacement or failure of information and communication facilities, telecommunication interruptions, or force majeure events. Prior notice is the default; where impossible, notice will be provided after the fact.

Article 6 (User Obligations)

• Users shall not use the Service for any purpose other than its intended use, nor in any way that infringes on rights of the Company or third parties.
• Users are responsible for managing their own Account information and may not transfer, lease, or share the Account with third parties.
• Users are responsible for the accuracy and truthfulness of any information they provide.

Article 7 (Intellectual Property)

All intellectual property rights in the Service — including software, content, trademarks, logos, and domains — belong to the Company or to the rightful owners. Users may not reproduce, distribute, transmit, publish, broadcast, or reverse-engineer the Service without prior written consent of the Company.

Article 8 (Privacy)

The Company collects, uses, and protects personal information in accordance with applicable laws and the Company’s Privacy Policy.

Article 9 (Termination and Usage Restrictions)

Users may terminate their Service usage at any time by notifying the Company in writing (email included). If a User breaches these Terms or applicable laws, the Company may, after prior notice, restrict Service usage or terminate the contract.

Article 10 (Limitation of Liability)

The Company is not liable for damages arising from force majeure, war, communication failures, or other causes not attributable to the Company’s willful misconduct or gross negligence. Users are responsible for outcomes derived from information, data, or computational results provided by the Company. The Company’s liability is limited to the extent permitted by applicable law.

Article 11 (Governing Law and Dispute Resolution)

These Terms are governed by and construed under the laws of the Republic of Korea. Any dispute between the Company and a User shall be brought before the competent court determined under the Korean Civil Procedure Act as the court of first instance.

Addendum

These Terms take effect from May 20, 2026.
